 Your directors have pleasure in presenting the Tenth Annual Report for
 the Financial year ended 31st March 2003.

 An explanatory statement for Auditor's Report is furnished in the
 Annexure B to the Directors' Report.
 
 DIVIDEND :
 
 In view of the accumulated losses, your directors regret inability to
 propose any dividend.
 
 OPERATIONS:
 
 The factory remained closed and there was no operations during the year
 2002-2003.
 
 REFERENCE TO BIFR :
 
 As per the directions of the BIFR the Operating Agency, ICICI Bank,
 issued an advertisement in some of the national dailes in July, 2002,
 inviting offers for lease/purchase of the company's processing unit on
 a going concern basis free from some or all encumbrances & liabilities.
 Progress in this regard is not known to the company.
 
 Your directors understand that some of the bankers of the company have
 obtained decree from the DRT. As reported earlier DRT decrees can be
 enforced only with the consent of BIFR.
 
 FUTURE PROSPECTS :
 
 We understand that the Operating Agency is in the process of
 identifying a promoter.
 
 CONSERVATION OF ENERGY, TECHNOLOGY ABSORPTION AND FOREIGN EXCHANGE
 EARNINGS AND OUTGO.
 
 Since there was no operation during the year 2002-2003 your directors
 are not furnishing the required particulars.
 
 DIRECTORS:
 
 Mr. A. J. pal ceased to be the Managing Director of the company
 consequent to withdrawal of nomination by KSIDC w.e.f. 01-08-2003. Your
 directors place on record the valuable guidance and support extended by
 him to the company during his tenure.
 
 In accordance with the provisions of the Companies Act, 1958, and the
 Articles of Association, Mr. M. balasubramaniyam, Mr. P. Palaniswamy
 and Mr. M. Shanmughavadivel, Directors retire from office by rotation
 and are eligible for re-appointment.
 
 Director's Responsibility Statement as per Section 217 (2AA) The
 Director's hereby confirm that:
 
 i) In the preparation of the annual accounts, the applicable accounting
 standards have been followed along with proper explanation relating to
 material departures wherever applicable.
 
 ii) Accounting policies have been selected and applied consistently and
 made judgements and estimates that are reasonable and prudent so as to
 give a true and fair view of the state of affairs of the Company at the
 end of the financial year and of the profit or loss of the Company for
 that period.
 
 iii) That proper and sufficient care has been taken for the maintenance
 of adequate accounting records in accordance with provisions of this
 Act for safeguarding the assets of the Company and for preventing and
 detecting fraud and other irregularities.
 
 iv) The annual accounts are prepared on a going concern basis.
 Particulars of Employees :
 
 There were no employees who were drawing salary and perquisites more
 than the prescribed limit during the financial year 2002-2003 in
 pursuant of section 217 (2A) of the companies Act, 1956.

 government organizations, Kerala State Industrial Development
 Corporation Ltd., IC1CI, Coimbatore, State Bank of India, Tirupur,
 Union Bank of India, Palakkad, Canara Bank, Palakkad, Bank of Baroda,
 Palakkad, State Bank of Travancore, Palakkad, Federal Bank Ltd.,
 Palakkad and Punjab National Bank, Coimbatore for their continued and
 valuable support and patronage.

 4. The company has Provided for gratuity on gross undiscounded basis.
 Since the amount of liability provided is not considered material or
 significant the actuarial liability thereon is not separately
 ascertained. The provision made in the accounts is considered adequate.
 
 5. The Company has requested the Directors, from whom declarations u/s.
 274 (1) (g) of the Companies Act, 1956, have not been received to
 furnish the necessary certificate.
 
 6. (a.to g.) The explanations given in the notes to Accounts are self
 explanatory.

 6. The Company had no transactions with any of the Directors or their
 firms. The Company has not given any loans or advances to any of the
 Directors or to their firms during the year. Therefore, nothing is
 entered in the register maintained under Section 301 of the Companies
 Act, 1956 during the current year.
 
 7. The explanations given in the notes to Accounts are self
 explanatory.
 
 12. The company has suspended ifs activities with effect from
 22-11-2001 and there was no purchase or sale in the company from that
 date and hence the company has not appointed any internal Auditors.
 
 13. The Company has not worked during the entire year 2002-2003.
 Therefore, the cost records as prescribed by the Central Government
 under Section 209 (1) (d) of the Companies Act, 1956 was not kept. As
 soon as the Company reopens, necessary records in this respect will be
 maintained.
