YEAR                       EVENTS
 The Company was incorporated on 29th November 1961, and commenced
 manufacture of continuous casting machines and disposable
 thermocouple tips for supply to steel plants in 1971.  It became a
 public limited company on 1st March, 1985, under the provisions of
 Section 43A of the Companies Act, 1956.
 
 1966 - Another Company Virani Fasteners & Bolts Pvt. Ltd., was
        incorporated on 18th August, to manufacture high tensile
        fasteners and it commenced production at its Rajkot factory
 in
        1968.
 
 1972 - The promoters of Industrial & Structurals Pvt. Ltd. acquired
        major interest in Virani Fasteners & Bolts Pvt. Ltd.  After
 this
        change in management, the plant was modernised and
 subsequently
        in 1981, the capacity was expanded.
 
 1982 - On 15th October, Industrial & Structural Pvt. Ltd.,
 amalgamated
        with Virani Fasteners & Bolts, Ltd. with retrospective effect
        from the close of business on 30th June, 1980.
 
      - 60,000 shares issued in 1980-81 without payment in cash to
 the
        members of industrial & Structurals, Pvt. Ltd. on its merger.
 
 1984 - Virani Fasteners & bolts Pvt. Ltd., changed its name to ISPL
        Industries Pvt. Ltd., on 22nd March.
 
      - With a view to train workmen and start trial production, the
        Company hired a shed at Silvassa.
 
      - Shares sub-divided on 19.1.1985.  2,50,000 bonus shares of Rs
 10
        each then issued in prop. 5:14.  15,00,000 shares then issued
 at
        par of which 46,500 shares to employees and 18,000 shares to
        business associates were reserved and allotted.  The balance
        14,35,500 shares offered to the public in May 1985.  3,75,000
        additional shares allotted to the public to retain
        oversubscription.  Another 1,80,000 shares were to be allotted
 to
        the promoters, etc. to maintain their percentage in the
 capital
        out of which 1,55,650 shares were already allotted.
 
 1985 - The Company has a technical collaboration agreement with
        Mannesmann Demag, a division of Mannesmann Demag
        Aktiengeselschaft Duisburg, West Germany for expanding and
        modernising its range of manufacture of continuous casting
        machines.
 
      - The Company has also entered into a technical collaboration
 with
        Centro Morgardshammer AB, Sweden, for the manufacture of
 billet
        grinder, bloom grinder, loading devices for billets and
 blooms
        and cutting saws.
 
      - Government approval was received for the manufacture of
        billets/bloom grinders to be set up at Dadra and Nagar
 Haveli.
 
      - A letter of intent was received for the manufacture of
 electric
        arc furnace including sponge iron alloys and additive feeding
        systems.
 
      - The Company also proposed to manufacture progressional grade
        electronic connectors by investing upto Rs 20 lakhs in the
 share
        capital of Jalex Connector Systems Ltd., a joint venture with
        Moles International Inc., a U.S.A. Company and Jay Electric
 Wire
        Corporation Ltd., for which Govt. approvals was received
 during
        the year.
 
      - Another 9,800 shares were allotted to promoters, etc.
 
 1992 - The Company discontinued manufacturing operations at Silvassa
 and
        transferred the same to Rajkot with a view to reduce cost.
 
 1996 - Efforts are on to obtain higher market share from the
 existing
        customers as well as developing new products for existing and
 new
        customers.
 
      - The Company has letters of intent for the manufacture of (i)
        automotive components, namely, tie rod and link assemblies,
 axle
        shafts and propeller shafts and (ii) billet/bloom/slab/ingot
        grinding machines and high speed cutting/sawing systems
 (Grinder
        Project) for metallurgical plants to be located in a
 Centrally
        declared backward districts.  Facilities were to be
 established
        there for the manufacture of 8 nos. each of
        billet/bloom/slab/ingot grinding machines and high speed
        cutting/sawing systems.
 
      - The letter of intent for automotive components was proposed to
 be
        implemented in two phases.  During the first phase, 2 lakh
 nos.
        tie rod ends and 1 lakh nos. tie rod and drag link assemblies
        would be manufactured.  In the second phase, 50,000 nos. axle
        shafts and 1 lakh nos. propeller shafts were proposed to be
        manufactured.
 
      - The Company acquired 7 hectares of land in Khadoli in the
 Union
        Territory of Dadra & Nagar Haveli.
